Jungal Platform Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern access to and use of the websites, applications, marketplaces, mobile applications, digital products, events, professional services, and platform services operated by Jungal Pty Ltd (“Jungal”, “we”, “us”, “our”).
These Terms apply to all users globally, including but not limited to users located in:

- United Kingdom

- United States
- New Zealand
- Any other jurisdiction where the platform is accessible
By accessing, registering for, browsing, listing on, publishing on, purchasing through, or using the Jungal platform or services (“Services”), you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not access or use the Services.
2. Nature of the Platform
Jungal is a digital platform and marketplace that facilitates professional connections, workforce engagement, supplier discovery, tenders, projects, events, recruitment activities, freelance engagements, contractor engagements, professional development activities, digital marketplaces, and related business services.
Jungal may provide:
- Freelancer and contractor marketplace services
- Talent discovery and recruitment support
- Supplier and business listing services
- Marketplace and tender publishing services
- Defence, government, council, not-for-profit, and commercial sector microsites
- Event hosting and educational sessions
- Digital communications and promotional services
- Subscription services
- Professional community services
- AI-enabled platform features and automation tools
Jungal is not an employer, labour hire provider, recruitment agency, procurement authority, legal adviser, accounting adviser, or guarantor of outcomes unless expressly stated in writing.
3. Eligibility
To use the Services, you must:
- Be at least 18 years old
- Have legal capacity to enter binding agreements
- Provide accurate registration information
- Not be prohibited from using the Services under applicable law
If using the Services on behalf of an organisation, you warrant that you are authorised to bind that organisation to these Terms.
We reserve the right to refuse access, suspend accounts, request verification documentation, or terminate accounts at our sole discretion.

Jungal may require:

- Tax registration details
- Banking verification
- Insurance evidence

- Professional licences or certifications
Failure to provide requested information may result in suspension or termination.
6. Independent Relationship
Nothing in these Terms creates:
- Employment relationships
- Partnerships
- Joint ventures
- Agency relationships
- Fiduciary obligations
Freelancers, contractors, consultants, suppliers, and service providers remain independent operators responsible for:
- Taxes
- Insurance
- Superannuation/pension obligations
- Payroll obligations
- Workers compensation obligations
- Immigration compliance
- Local licensing requirements
- Workplace safety compliance
Users are solely responsible for determining the appropriate legal classification of working relationships.
7. Marketplace & Engagement Risk
Jungal provides a platform for introductions and transactions between users.
Jungal does not:
- Guarantee work opportunities
- Guarantee engagements or contracts
- Guarantee payment by third parties
- Verify all user representations
- Guarantee quality, legality, safety, availability, suitability, security, or performance
Users engage with each other entirely at their own risk.
You are solely responsible for:
- Conducting due diligence
- Assessing suitability
- Verifying credentials
- Reviewing insurance coverage
- Negotiating agreements
- Managing disputes
- Ensuring compliance with applicable laws
8. Payments, Fees & Subscriptions
8.1 Fees
Jungal may charge:
- Subscription fees
- Listing fees
- Marketplace fees
- Commission fees
- Event fees
- Promotional fees
- Transaction fees
- Advertising fees
- Premium service fees
Fees may vary by region, currency, service type, or membership level.
8.2 Payment Terms
You authorise us and our payment providers to:
- Charge applicable fees
- Process recurring subscriptions
- Recover overdue amounts
- Apply taxes where required
Payments are generally non-refundable except where required by law.
Late payments may result in:
- Suspension
- Restricted access
- Collections activity
- Termination
8.3 International Payments
Users are responsible for:
- Currency conversion fees
- International banking fees
- VAT/GST/HST/sales tax obligations
- Withholding tax obligations
- Local reporting obligations
9. Platform Conduct Rules
You must not:
- Breach any law or regulation

- Engage users off-platform to avoid fees where prohibited

- Use automated scraping or harvesting tools without permission
- Interfere with platform operations or security
- Use the platform for spam or unauthorised marketing
We reserve the right to remove content or restrict access at our discretion.
10. Defence, Government & Regulated Sectors
Users participating in defence, government, infrastructure, banking, or regulated sector opportunities acknowledge that:
- Additional compliance obligations may apply
- Security clearances may be required
- Export control laws may apply
- Procurement rules vary by jurisdiction
- Jungal does not guarantee procurement eligibility
Users remain solely responsible for compliance with:
- Defence procurement obligations
- National security requirements
- Anti-bribery laws
- Export controls
- Government contracting rules
- Ethical sourcing requirements
11. Intellectual Property
11.1 Jungal Intellectual Property
All platform content, branding, software, systems, graphics, trademarks, designs, workflows, databases, AI tools, and materials are owned or licensed by Jungal.
You may not reproduce, reverse engineer, copy, distribute, or commercially exploit platform materials without written consent.
11.2 User Content
You retain ownership of content you upload.
By uploading content, you grant Jungal a worldwide, non-exclusive, royalty-free licence to:
- Host
- Store
- Display
- Reproduce
- Promote
- Market
- Publish
- Adapt
your content for operating and promoting the Services.
You warrant that you have the rights necessary to provide this licence.
12. AI & Automated Services
Jungal may use artificial intelligence, automation, recommendation engines, data analytics, and automated workflows.
You acknowledge that:
- AI-generated outputs may contain inaccuracies
- Automated recommendations are informational only
- Human review may still be required
- Jungal does not guarantee AI-generated outcomes
Users remain responsible for decisions made using platform outputs.
13. Privacy & Data Protection
Our Privacy Policy forms part of these Terms.
You consent to the collection, use, disclosure, processing, and international transfer of information as described in our Privacy Policy.
Users must comply with applicable privacy laws including, where applicable:
- Australian Privacy Act
- GDPR
- UK GDPR
- Canadian privacy legislation
- US state privacy laws
Jungal may store or process data internationally using third-party infrastructure providers.
14. Third-Party Services
The platform may integrate with or link to third-party services, including:
- Payment providers
- Video platforms
- Authentication providers

- Government procurement portals
- Job boards
- CRM systems
- Calendar services
- Social media platforms
Jungal is not responsible for third-party systems, availability, security, or conduct.
Use of third-party services may be subject to separate terms.
15. Availability & Platform Changes
We may:
- Modify Services
- Add or remove functionality
- Introduce new pricing
- Suspend features
- Discontinue parts of the platform
We do not guarantee uninterrupted access or availability.
Maintenance, outages, cyber incidents, third-party failures, or force majeure events may affect access.
16. Limitation of Liability
To the maximum extent permitted by law:
- Jungal excludes all implied warranties and representations
- The Services are provided “as is” and “as available”
- Jungal is not liable for indirect, consequential, incidental, punitive, or special damages
This includes loss of:
- Revenue
- Profits
- Business opportunities
- Data
- Reputation
- Contracts
- Goodwill
Jungal’s total aggregate liability arising from the Services is limited to the greater of:
- The fees paid by you to Jungal in the previous 12 months; or
- AUD $100
Nothing in these Terms excludes rights that cannot lawfully be excluded.
17. Indemnity
You indemnify and hold harmless Jungal, its officers, employees, contractors, affiliates, and partners from claims, losses, liabilities, damages, costs, and expenses arising from:
- Your use of the Services
- Your content
- Your breach of these Terms
- Your breach of law
- Disputes with other users
- Your negligence or misconduct
18. Suspension & Termination
We may suspend, restrict, or terminate access immediately if:
- You breach these Terms
- We suspect unlawful conduct
- We believe platform integrity or security is at risk
- Required by law or regulators
Termination does not affect accrued rights, fees owed, or obligations intended to survive termination.
19. Disputes Between Users
Jungal is not responsible for disputes between users.
We may, but are not obligated to:
- Assist communications
- Review evidence
- Moderate complaints
- Suspend accounts
Users remain solely responsible for resolving disputes.
20. Governing Law
These Terms are governed by the laws of Victoria, Australia.
You submit to the non-exclusive jurisdiction of the courts of Victoria, Australia.
Where mandatory consumer protections apply in your jurisdiction, those protections remain unaffected.
21. Compliance With International Laws
Users are responsible for compliance with all laws applicable to their activities, including:
- Employment laws
- Tax laws
- Export controls
- Sanctions laws
- Anti-corruption laws
- Privacy laws
- Procurement rules
- Immigration laws
You must not use the platform in jurisdictions where use would violate applicable law.
22. Force Majeure
Jungal is not liable for delays or failures caused by events beyond reasonable control, including:
- Natural disasters
- Cyber incidents
- War
- Government actions
- Telecommunications failures
- Labour disputes
- Infrastructure outages
- Pandemic events
23. Changes to These Terms
We may amend these Terms at any time.
Updated Terms will be published on the platform with a revised effective date.
Continued use of the Services after updates constitutes acceptance.
24. Entire Agreement
These Terms, together with any policies, guidelines, or additional service terms published by Jungal, form the entire agreement between you and Jungal.
If any provision is found unenforceable, the remaining provisions remain in effect.
